Non-Solicitation Agreement

A non-solicitation agreement is a legal contract between an employer and an employee or contractor that prohibits the employee or contractor from soliciting the employer’s clients, customers, or employees for a certain period of time after the termination of the employment or contract relationship. The agreement may also prohibit the employee or contractor from using the employer’s confidential information or trade secrets for solicitation purposes. The purpose of the agreement is to protect the employer’s business interests and prevent unfair competition by former employees or contractors. The agreement should clearly define the scope and duration of the non-solicitation obligations, as well as any exceptions or limitations. The agreement should also be reasonable in terms of geographic scope and duration, and should not unduly restrict the employee or contractor’s ability to earn a living. Non-solicitation agreements are often included as part of a broader employment or independent contractor agreement.
